Welcome to WeGoSign. These Terms of Service ("Terms") govern your access to and use of WeGoSign's document signing platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

WeGoSign provides an electronic document signing platform that enables users to:

• Upload and create document templates
• Send documents for electronic signature
• Collect legally binding electronic signatures
• Track document status and manage workflows
• Access signed documents and audit trails
• Integrate with third-party applications via API

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent that you meet these requirements.

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for fraudulent purposes or to facilitate illegal transactions
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest user data without consent
• Send spam, unsolicited communications, or abuse the email features
• Circumvent any access controls or usage limits

5.1 Legal Validity

Electronic signatures created through WeGoSign are intended to comply with applicable electronic signature laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and the EU eIDAS Regulation.

5.2 Your Responsibility

You are responsible for determining whether electronic signatures are appropriate and legally valid for your specific use case and jurisdiction. Some documents may require wet signatures or notarization by law.

5.3 Consent to Electronic Signatures

By using our Services to sign documents electronically, you consent to conduct transactions electronically and acknowledge that electronic signatures are legally binding.

6.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Plan details and pricing are available on our pricing page and may be updated from time to time.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

6.3 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

7.1 Our Rights

WeGoSign and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property rights. The Services are protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of all documents, data, and content you upload to the Services ("Your Content"). You grant us a limited license to use Your Content solely to provide the Services to you.

7.3 Feedback

If you provide us with feedback or suggestions about the Services, we may use such feedback without any obligation to you.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTIES REGARDING THE RELIABILITY, ACCURACY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEGOSIGN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless WeGoSign and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12.1 By You

You may cancel your account at any time through your account settings or by contacting support. Upon cancellation, your access to the Services will continue until the end of your current billing period.

12.2 By Us

We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. We will provide notice of termination unless prohibited by law or doing so would compromise safety or security.

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. You may request export of your data within 30 days of termination. We may delete your data after this period.

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WeGoSign is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive relief in court.

• Entire Agreement: These Terms constitute the entire agreement between you and WeGoSign regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
